From the AMENDED & RESTATED ARTICLES OF INCORPORATION filed 2/28/2001

2. Rights. The members that hold the Class B Common Stock shall have a proportionate

right in and to the water rights from Right number 51-1578 located at approximately
North 591 feet and East 20.1 feet from the East ¼ Corner of Section 32, Township 8
South, Range 3 East, Salt Lake Base and Meridian. The Class B Common Stock shall have no
right in or to any rights of the Corporation or Spanish Fork River Rights, drainage
rights or the ditches, dams or structures of the Corporation.



Figures for area irrigated are from a 1939 survey by the Utah State Agricultural

College and are in the Dunford Decree.
